Serpentua Cloud Platform — End User License Agreement

This End User License Agreement ("Agreement") governs your access to and use of the Serpentua Cloud Platform and the Serpentua Cloud Agent. By accessing the Service or installing the Cloud Agent, you agree to be bound by this Agreement.
1. Definitions
For the purposes of this Agreement, the following definitions apply:
- a."Service" means the Serpentua Cloud Platform, including all web interfaces, APIs, dashboards, reporting tools, and associated cloud infrastructure made available by Serpentua on a subscription basis.
- b."Cloud Agent" means the proprietary software client distributed by Serpentua for installation on Licensee's local systems, which performs local file validation and transmits validation results to the Service.
- c."Licensee" means the individual or organization that has accepted this Agreement and holds a valid active subscription.
- d."Authorized Systems" means servers, workstations, or other computing devices owned or controlled by the Licensee on which the Licensee is permitted to install and operate the Cloud Agent.
- e."Validation Data" means file metadata, checksum results, integrity reports, and related telemetry generated by the Cloud Agent and transmitted to the Service. Validation Data does not include the content of any files processed by the Cloud Agent.
2. Grant of License — Cloud Platform
Subject to the terms of this Agreement and the Licensee maintaining a valid paid subscription, Serpentua grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to:
- a.Access and use the Service via its designated web interface and API endpoints for the Licensee's internal business purposes;
- b.Create, manage, and view validation reports, dashboards, alerts, and other outputs generated by the Service;
- c.Invite and manage users within the Licensee's account, subject to the terms associated with the active subscription tier.
3. Grant of License — Cloud Agent
Subject to the terms of this Agreement, Serpentua grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to:
- a.Download, install, and execute the Cloud Agent solely on Authorized Systems owned or controlled by the Licensee;
- b.Configure the Cloud Agent to perform scheduled or on-demand local file validation scans on data residing on Authorized Systems;
- c.Use the Cloud Agent exclusively in conjunction with the Licensee's active Serpentua Cloud Platform subscription. The Cloud Agent may not be used as a standalone tool or in conjunction with any third-party platform or service.
- d.Deploy the Cloud Agent on an unlimited number of Authorized Systems, subject to any seat or agent limits specified in the Licensee's subscription plan.
4. Cloud Agent — Restrictions
With respect to the Cloud Agent, the Licensee shall NOT:
- a.Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Cloud Agent;
- b.Modify, adapt, translate, or create derivative works of the Cloud Agent;
- c.Redistribute, sublicense, sell, rent, lease, or otherwise transfer the Cloud Agent or any rights therein to any third party;
- d.Use the Cloud Agent to transmit Validation Data to any platform, service, or infrastructure other than the Serpentua Cloud Platform;
- e.Circumvent, disable, or interfere with any authentication, encryption, or security controls embedded in the Cloud Agent;
- f.Use the Cloud Agent in any environment where it could pose a risk to third-party systems, data, or networks without the explicit consent of those third parties.
5. Cloud Agent — Data and Privacy
The Cloud Agent is designed with a privacy-first architecture. The following commitments govern the operation of the Cloud Agent:
- a.All file content is processed locally on Authorized Systems. The Cloud Agent does not upload, copy, or transmit the content of any files to Serpentua or any third-party infrastructure;
- b.Only Validation Data (checksums, integrity results, file metadata such as path, size, and modification timestamps) is transmitted to the Service over encrypted channels using TLS 1.3 or higher;
- c.The Cloud Agent does not collect personally identifiable information beyond what is necessary to associate Validation Data with the Licensee's account;
- d.Serpentua will handle all transmitted Validation Data in accordance with its Privacy Policy, available at serpentua.com/privacy.
6. Prohibited Uses
The Licensee shall NOT, with respect to either the Service or the Cloud Agent:
- a.Use the Service or Cloud Agent to offer a competing hosted validation, integrity monitoring, or data preservation service to third parties;
- b.Attempt to gain unauthorized access to any portion of the Service, its underlying infrastructure, or other customers' accounts or data;
- c.Use the Service or Cloud Agent in violation of any applicable law, regulation, or third-party rights;
- d.Introduce malicious code, viruses, or automated scripts intended to disrupt or degrade the Service;
- e.Use the Service or Cloud Agent in any production environment governed by regulations that prohibit the use of third-party software without prior written approval, unless such approval has been obtained.
7. Subscription and Payments
Access to the Service and the right to use the Cloud Agent are contingent on maintaining a valid, paid subscription.
- a.Subscription fees are billed in accordance to the agreed subscription terms. All fees are non-refundable except where required by applicable law or expressly stated in a written agreement with Serpentua;
- b.Serpentua reserves the right to modify subscription pricing with at least 30 days' written notice to the Licensee;
- c.Failure to maintain a valid subscription will result in suspension of access to the Service. The Cloud Agent will cease transmitting Validation Data upon suspension or termination of the subscription.
8. Intellectual Property
All right, title, and interest in and to the Service, the Cloud Agent, and all associated documentation, code, interfaces, and content are and remain the exclusive property of Serpentua. This Agreement does not transfer any ownership interest to the Licensee.
- a.The Licensee retains full ownership of all data stored on Authorized Systems. Serpentua claims no ownership over the Licensee's files or their contents;
- b.Validation Data transmitted to the Service remains the property of the Licensee. Serpentua may use aggregated, anonymized Validation Data for product improvement and analytics purposes only.
9. Updates and Modifications
Serpentua may release updates, patches, or new versions of the Cloud Agent and the Service from time to time.
- a.Updates to the Cloud Agent may be delivered automatically or require manual installation. Continued use of the Cloud Agent after an update constitutes acceptance of any modifications to this Agreement included with that update;
- b.Serpentua reserves the right to modify, suspend, or discontinue any feature of the Service with reasonable notice, except in cases of emergency or security incidents;
- c.Serpentua will make reasonable efforts to maintain backward compatibility of the Cloud Agent with supported versions of the Service API.
10. Term and Termination
This Agreement is effective from the date the Licensee first accesses the Service or installs the Cloud Agent, and remains in effect for the duration of the active subscription.
- a.Either party may terminate this Agreement with 30 days' written notice;
- b.Serpentua may terminate this Agreement immediately and without notice if the Licensee materially breaches any term of this Agreement;
- c.Upon termination, the Licensee must cease all use of the Service and uninstall the Cloud Agent from all Authorized Systems. Serpentua will provide Licensee with a reasonable opportunity to export Validation Data prior to account deletion.
11. No Warranty
THE SERVICE AND CLOUD AGENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SERPENTUA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SERPENTUA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SERVICE, OR THE CLOUD AGENT, EVEN IF SERPENTUA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SERPENTUA'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Serpentua is incorporated, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction in Serpentua's place of incorporation.
