Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Serpentua ("Company," "we," "us," or "our") governing your access to and use of the Serpentua data validation platform, including any associated websites, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Serpentua provides an enterprise data validation and preservation platform that enables users to verify file integrity through cryptographic validation. The Service includes:

Lightweight agents and scripts for local file validation
Cloud-based reporting and analytics dashboard
Validation record storage and retention
API access for integration with existing systems
Compliance reporting and audit trails

Account Registration

Access to the Service requires an account created by Serpentua. Accounts are provisioned by our team upon approval of your subscription or service agreement. You may not create accounts independently. Upon receiving your account credentials, you agree to:

Ensure all information provided to Serpentua for account creation is accurate and complete
Notify us promptly of any changes to your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to any part of the Service or its systems
Interfere with or disrupt the integrity or performance of the Service
Transmit any malicious code, viruses, or harmful data
Use the Service to infringe upon the intellectual property rights of others
Resell, sublicense, or redistribute the Service without authorization
Use automated means to access the Service without our express permission
Attempt to reverse engineer, decompile, or disassemble any part of the Service

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.

Your Data: You retain all ownership rights to your data. We process your data solely to provide the Service and as described in our Privacy Policy. Your files never leave your infrastructure—only cryptographic checksums and metadata are transmitted to our servers.

Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Pricing and Payment

Certain features of the Service require payment. By subscribing to a paid plan, you agree to:

Pay all fees associated with your chosen plan
Provide accurate billing information
Authorize us to charge your payment method for recurring fees

Prices are subject to change with reasonable notice. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Service Availability

We strive to maintain 99.99% uptime for our Service. However, we do not guarantee uninterrupted access and may occasionally need to perform maintenance or updates. We will provide reasonable notice of planned maintenance when possible.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

Intellectual Property

The Service, including all content, features, and functionality, is owned by Serpentua and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Service or software without our prior written consent.

Patent Protection

The Serpentua platform, including its data validation methods, processes, and underlying technology, is protected by one or more patents and/or pending patent applications. The cryptographic validation methodology and associated systems employed by the Service are proprietary to Serpentua.

Unauthorized use, reproduction, or implementation of the patented methods and processes is strictly prohibited and may result in legal action. Nothing in these Terms grants you any rights to our patents or patent applications.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. Your use of the Service is at your sole risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERPENTUA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Serpentua and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

Termination

You may terminate your account at any time by contacting us or using the account settings in the dashboard. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. We will retain your data according to our data retention policies and applicable law.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Serpentua is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Serpentua regarding the Service and supersede all prior agreements and understandings.
